Terms of Service
The legal agreement between Tangerine Star and the merchants who use the website, AI-powered inventory-management services, and hardware.

These Terms of Service ("Terms") are a legal agreement between you and Tangerine Star Inc., a Washington corporation located at 2510 6th Ave, Unit 2607, Seattle, WA 98121 ("Tangerine Star," "we," "us," or "our"). They govern your access to and use of the Tangerine Star website, AI-powered inventory-management services, and any hardware we sell (together, the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you accept these Terms for a company or other entity, you represent that you have authority to bind that entity, and "you" includes that entity.
1. Definitions
"Service" means the Tangerine Star website, software, AI-powered inventory-management features, and any Hardware we sell.
"Subscription" means a paid plan for the Service.
"Hardware" means any physical device we sell (including the Seymour device).
"Customer Data" means data, documents, and content you upload to or generate through the Service, including purchase orders and invoices.
"Outputs" means AI-generated extractions, analyses, and insights the Service produces from Customer Data.
"AI" means the artificial-intelligence models (ours and third parties') used to process Customer Data.
2. Eligibility and accounts
You must be at least 18 years old and using the Service for business purposes. The Service is available only in supported jurisdictions, and you must provide accurate, current, and complete business information and keep it updated.
You are responsible for safeguarding your credentials and for all activity under your account. Notify us immediately of any unauthorized access. We may suspend or terminate accounts as described in §13.
3. The Service
Plans. We offer a free tier (basic inventory management), paid Subscriptions (advanced features, including AI-powered analytics), and trials (temporary free access to paid features).
Changes to the Service. We may add, modify, suspend, or discontinue features at any time. Service interruptions may occur for maintenance, AI-model updates, third-party integration issues, security, or regulatory reasons. We will make reasonable efforts to give advance notice of planned interruptions.
4. Artificial intelligence terms
4.1 Use of AI and model variability. The Service uses multiple AI models (third-party and custom) to process and analyze Customer Data. Output accuracy and completeness vary with the model, input quality, and preprocessing. We may change or update AI models without notice, and model behavior may change over time ("model drift").
4.2 Limitations; assumption of risk. AI Outputs are not guaranteed to be accurate or error-free. You must review and verify any Output before relying on it for business decisions. AI may misinterpret or fail to process complex or low-quality documents, and errors may arise from data conversion or technical limits. By using the Service, you accept these risks.
4.3 Preprocessing and technical constraints. Documents may be converted for AI compatibility (e.g., Excel to CSV/PDF, PDF to images, image resizing). Limits include approximately 200,000 tokens (~150,000 characters) and 32MB per document; processing may fail for unsupported, corrupted, low-quality, or very long files (over 100 pages).
4.4 Prohibited uploads. You must not upload: credit-card statements, medical records, proprietary source code, or privileged legal documents; native Excel files (convert to CSV/PDF first); encrypted or password-protected files; or files requiring specialized parsing (e.g., handwritten forms). Uploading prohibited data may result in suspension or data removal.
4.5 Data handling. Customer Data may be processed by third-party AI vendors and infrastructure providers (e.g., AWS, RunPod) to deliver and improve the Service. Documents undergo preprocessing (e.g., OCR, entity extraction, format conversion) before analysis. Use of Customer Data is governed by these Terms and our Privacy Policy (§8). We do not sell your data.
4.6 Output ownership. You retain ownership of your Customer Data and Outputs. Because Outputs may not mirror the original document structure and may contain inaccuracies, we disclaim liability for errors or omissions in Outputs (§§14–15).
4.7 Legal and regulatory note. AI is subject to evolving law. We cannot guarantee that Outputs satisfy legal, regulatory, or insurance requirements in every jurisdiction. You are responsible for ensuring your use of the Service and Outputs complies with applicable law, and for any disclosures your insurer or regulator may require.
4.8 Human oversight. Where available, you may request human review of AI Outputs, and we will provide information about system limitations and performance on request.
5. Acceptable use
You receive a non-exclusive, non-transferable, revocable license to use the Service for your business. You will not (a) reverse engineer, decompile, or attempt to derive source code; (b) resell, sublicense, or provide the Service to third parties except as expressly allowed; (c) interfere with or disrupt the Service or circumvent its security or usage limits; (d) use the Service unlawfully or to infringe others' rights; or (e) use the Service in any way that violates these Terms. We may suspend access to address violations or security risks.
6. Subscriptions, billing, and auto-renewal
Fees and renewal. Paid Subscriptions are billed in advance on a recurring basis (monthly or annual, as selected) and automatically renew for successive periods until cancelled. Applicable taxes are added.
Cancellation. You may cancel at any time before the next renewal through your account; we provide an easy, self-serve cancellation path. Cancellation takes effect at the end of the current period. Except where required by law, fees are non-refundable and we do not refund partial periods.
Trials. If a trial converts to a paid Subscription, it converts at the end of the trial unless you cancel before then; we will make the conversion terms clear at sign-up.
Price changes. We will give advance notice of price changes; continued use after a change takes effect constitutes acceptance.
Failed payments and chargebacks. If a charge fails, we may retry, suspend, or downgrade the account. Initiating a chargeback for legitimate charges is a breach and may result in suspension.
7. Hardware
Orders and pricing. Hardware orders are subject to acceptance and availability. Prices, taxes, and shipping are stated at checkout.
Shipping; title; risk of loss. Title and risk of loss pass to you on delivery to the carrier, unless required otherwise by law. Delivery dates are estimates.
Returns. Hardware may be returned for a full refund within 30 days of delivery, or for partial credit within 90 days of delivery. We will accept returns for up to one (1) year from delivery, provided the product is returned in working condition and has not been modified or damaged. All returns are subject to our return/RMA process.
Warranty. Hardware is covered by a limited warranty for one (1) year from delivery. Except for that limited warranty, Hardware is provided without warranties, to the extent permitted by law (see §14). Hardware purchases are not eligible for affiliate commission (see §12).
8. Customer data, privacy, and data processing
You own your Customer Data. You grant us a worldwide, non-exclusive license to host, process, and use Customer Data and Outputs solely to provide, secure, and improve the Service, including to improve our AI models, subject to these Terms and our Privacy Policy. To the extent we process personal data within Customer Data on your behalf, we do so in accordance with our Privacy Policy and applicable law. You represent that you have the rights and lawful basis to upload Customer Data and to grant these licenses, and you are responsible for the accuracy and legality of Customer Data you provide.
9. Intellectual property
Our IP. We and our licensors own all rights in the Service, including software, trademarks, service marks, and brand features. Except for the limited rights expressly granted, you receive no rights in our IP.
Feedback. If you give us suggestions or feedback, you grant us a perpetual, royalty-free license to use it without restriction or obligation to you.
10. Confidentiality
Each party may receive non-public information of the other (including, for us, non-public features and pricing, and, for you, your business data). The receiving party will use the other's confidential information only to perform under these Terms and will protect it with reasonable care. This does not apply to information that is public, independently developed, or rightfully obtained from a third party. These obligations survive termination.
11. Copyright / DMCA
We respond to notices of alleged copyright infringement. Send notices that comply with the DMCA (17 U.S.C. § 512(c)(3)) to our designated agent: Copyright Agent: RC Carter, Tangerine Star, Inc., 2510 6th Ave, Unit 2607, Seattle, WA 98121, info@tangerinestar.com.
12. Affiliate program
If you participate in the Tangerine Star Affiliate Program, your participation is governed by the separate Affiliate Program Terms of Service, which control as to the Program. Affiliate commissions are earned on subscription fees only; Hardware purchases are excluded. In a conflict between these Terms and the Affiliate Program Terms as to the Program, the Affiliate Program Terms control.
13. Term, suspension, and termination
These Terms apply while you use the Service. You may stop using the Service and cancel any Subscription at any time (§6). We may suspend or terminate your access, with or without notice, for breach of these Terms, non-payment, suspected fraud, legal/security reasons, or conduct harmful to us, other users, or third parties.
Effect of termination. On termination, your license to use the Service ends. We will make Customer Data available for export for 30 days after termination, after which we may delete it in the ordinary course, subject to legal retention requirements and our Privacy Policy. Provisions that by their nature should survive (including §§8–10, 14–17) survive termination.
14. Disclaimers
The Service, Outputs, and Hardware (except for any express limited Hardware warranty) are provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty regarding accuracy, reliability, or uninterrupted operation, to the fullest extent permitted by law. We do not warrant that Outputs will be accurate or error-free, that the Service will be uninterrupted, or that it will be compatible with all file types or business systems. Some jurisdictions do not allow certain disclaimers, which may not apply to you.
15. Limitation of liability
To the fullest extent permitted by law: (a) we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, or for business decisions made based on Outputs or service interruptions; and (b) our total aggregate liability arising out of or relating to the Service will not exceed the greater of the amounts you paid us in the twelve (12) months before the event giving rise to the claim or US$100. These limits do not apply to liability that cannot be limited by law, and the cap does not limit your indemnification obligations or either party's confidentiality breaches.
16. Indemnification
You will defend, indemnify, and hold harmless Tangerine Star and its affiliates, officers, directors, employees, and agents from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your Customer Data, your use or misuse of the Service or Outputs, your breach of these Terms, or your violation of any law or third-party right. We may assume the exclusive defense of any matter subject to indemnification, and you will cooperate.
17. Dispute resolution
(a) Governing law. These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-laws rules.
(b) Arbitration; class waiver. Except where prohibited, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Seattle, Washington. Arbitration is on an individual basis only — you and Tangerine Star waive any right to a jury trial and to participate in any class, collective, or representative proceeding. Opt-out: you may opt out of arbitration by sending written notice to info@tangerinestar.com within 30 days of first accepting these Terms; if you opt out, §17(c) governs.
(c) Courts. Any dispute not subject to arbitration, and any action for injunctive or equitable relief to protect intellectual property or confidential information, will be brought exclusively in the state or federal courts located in King County, Washington, to whose jurisdiction the parties consent.
18. General
Updates. We may revise these Terms; we will communicate material changes at least 30 days in advance (by posting or electronic notice). Continued use after changes take effect constitutes acceptance.
Entire agreement. These Terms, together with the Privacy Policy and any order or plan terms, are the entire agreement between you and Tangerine Star and supersede prior agreements on the subject.
Assignment. We may assign these Terms (e.g., in a merger or sale of assets); you may not assign without our consent.
Severability; waiver. If any provision is unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver.
Force majeure. Neither party is liable for failure or delay caused by events beyond its reasonable control (e.g., outages, attacks, strikes, governmental action, natural disasters).
Notices; electronic communications. You consent to receive notices and other information from us electronically, including at your account email. Legal notices to us go to info@tangerinestar.com / Tangerine Star Inc., 2510 6th Ave, Unit 2607, Seattle, WA 98121.
